License Agreement for Video Game Assets

License Grant. Licensor grants to Licensee a non-exclusive, perpetual, worldwide, royalty-free license to use the video game assets described in Exhibit A (the "Assets"), for use in the creation and distribution of video games.

Licensee’s Obligations. Licensee agrees to use the Assets only for the purposes permitted in this Agreement, and to comply with all applicable laws and regulations. Licensee may not sublicense the Assets or use them for any other purpose than the creation and distribution of video games.

Ownership. Licensor retains all rights, title, and interest in and to the Assets, including any and all intellectual property rights. This Agreement does not grant Licensee any ownership interest in the Assets.

Warranties. Licensor represents and warrants that it has the right to grant the license to the Assets under this Agreement, and that the Assets do not infringe any third-party rights. Licensee agrees that the Assets are provided "as is" without warranty of any kind.

Limitation of Liability. In no event will Licensor be liable for any damages arising out of the use of the Assets, including but not limited to direct, indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

Indemnification. Licensee agrees to indemnify and hold harmless Licensor, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of or in connection with Licensee's use of the Assets.

Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter.
